Moan/Grind in between shifts

just bought a 325e. i noticed a little moan/grind in between upshifts as the motor's rpms drop from the back end. It happens going strieght or turning, and there is no noise as the engine revs up, only down. What do you guys think?

the odo is sputtering also. It pops up and then down mostly down. The digital console to the right of the radio isn't working also, but the MPG meter below the tach is? Whats your guys thoughts on that?

If the sound is occuring when you are NOT moving, I would blame it on an accessory, an accessory belt, or a bad throughout bearing. If it happens while moving, I'd quickly drain and refill the tranny fluid and see if that helps. If not, it's your synchro's which would suck....you might get yourself some mechanic experience. Also, if it's coming from the far back end, it's the differential. If it's a limited slip differential, it will make odd noises while turning (Mine does, it's simply 16 years old... and will make some noises) but it shouldnt when going in a straight line. I would check to make sure all fluids are new.

The odometer problem is completely unrelated... that I am not sure with. Check out www.unofficialbmw.com

I was thinking the diff was the cause but it only happens in between shifts, and the diff fluids have been done with in the past 3,000. That led me to thinking exhaust, but I wasn't sure. The car has 104,000. Do diffs go out then?
